Terms of Service — BaiSourcing

1. Introduction & Acceptance

By requesting or engaging any service from BaiSourcing ("we", "us", "our") through baisourcing.com, you ("Client") agree to these Terms of Service. These Terms apply to all services described on this website. If you do not agree, please do not submit a request.

2. Services

BaiSourcing provides engineering-led sourcing support: supplier sourcing and shortlisting, sample comparison and claim verification, BOM and product teardown audits, product development and cost optimization, and production verification. Service descriptions published on the Services page form part of these Terms.

3. Quotes, Fees & Payment

  • Fees are agreed in writing before work begins.
  • BOM & Teardown Audit: $500–$1,500 depending on scope, with a typical 3–5 day turnaround.
  • Sourcing and QC engagements are quoted after the product, quantity, destination, and required inspection scope are confirmed.
  • Payment terms are stated on the engagement confirmation. Work begins after scope confirmation, not after payment alone.

4. Scope & Service Boundaries

The following are outside the scope of services and are not guaranteed:

  1. Physical sample procurement, courier coordination, import duties, or sample cost reimbursement — managed between Client and supplier.
  2. Final supplier selection — shortlists are advisory; the Client decides. No guarantee that any shortlisted supplier will accept an order, match a target price, or pass sample review.
  3. Production remediation — only the Client can enforce changes through their commercial relationship with the factory.
  4. Freight forwarding, customs clearance, inland delivery, carrier rate negotiation, transit times, customs outcomes, or import documentation.
  5. Exclusive supplier relationships or pricing agreements.

5. Client Responsibilities

The Client provides accurate product information, supplier quotes, and documentation. Audit findings reflect the unit(s) and information provided at the time of review. The Client is responsible for ensuring that submitted samples are representative of the intended production and that all provided documents are truthful.

6. Confidentiality

Both parties keep confidential information (product specifications, quotes, supplier data, audit reports, business details) confidential and use it only for the purpose of the engagement. We do not share Client information outside the engagement without consent. Formal NDAs may be signed on request before engagement.

7. Intellectual Property

Audit reports and deliverables are provided to the Client for their business use. BaiSourcing's methodologies, tools, internal processes, and accumulated engineering knowledge remain our property. Nothing in these Terms transfers ownership of our internal processes or intellectual property.

8. Reports & No Guarantee of Outcomes

Reports are based on physical disassembly and the evidence available at the time of review. We make no guarantee of any commercial outcome, including but not limited to: that prices can be reduced, that a supplier will accept an order, that certification marks are valid or transferable, that a product will pass any market's compliance requirements, or that products will perform in any specific way. Reports are advisory in nature; all final commercial, legal, and production decisions rest with the Client.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BaiSourcing's total liability for any claim arising from or related to a service is limited to the fees paid by the Client for the specific engagement giving rise to the claim. BaiSourcing is not liable for indirect, incidental, special, or consequential damages, including lost profits, production losses, inventory losses, or recall costs.

10. Termination

Either party may terminate an engagement with written notice. Fees for work completed up to the date of termination are payable. Terminated engagements remain subject to the Confidentiality and Limitation of Liability sections of these Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Any dispute arising from these Terms will first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, either party may submit the dispute to the competent courts of the place where BaiSourcing operates.
